Terms of Service

These terms are an agreement between NSDBytes ("NSDBytes", "we", "us") and the business that signs up for ZeroDelay ("you", "the Client"). By creating an account, paying, or using ZeroDelay, you accept these terms on behalf of your business. If you do not have authority to bind your business, do not sign up.

1. What ZeroDelay is

ZeroDelay connects your business software (for example CRM, accounting, ERP, inventory, spreadsheets, project and HR systems) to chat channels (WhatsApp, Telegram and a web app). People you authorise can ask questions and receive answers from your systems, and your systems can ask people for updates, which are read back, confirmed and saved as drafts for approval.

2. Connectors and "Coming soon"

Each supported system is a "connector". A connector is available to buy and use only when it is marked Live on zerodelay.si. Connectors marked Coming soon are listed so you can register interest; we have no obligation to make them live by any date, and we do not charge for a connector before it is live for you. Connectors described as "needs setup" or "on request" are delivered under a separate quote or setup pack.

3. Your account

You must give accurate details and keep login credentials secure. You are responsible for everything done under your account, including the people you add and the roles you give them. Tell us at [email protected] immediately if you suspect unauthorised use.

4. Your responsibilities

You confirm that:

  1. you have the right to connect each system you connect, and to give us the credentials or approvals needed to do so;
  2. you have a lawful basis and any notices or consents required to add your staff, dealers, customers, suppliers or other people ("End Users") to ZeroDelay and to message them on WhatsApp, Telegram or the web app;
  3. you will set roles and access so each End User sees only what they should;
  4. you will review drafts before approving them. Entries created from chat are drafts until someone you authorise approves them, and you are responsible for what you approve;
  5. you will follow our Acceptable Use Policy and the rules of the channels you use, including the WhatsApp Business policies.

5. Third-party services

ZeroDelay relies on services we do not control, including your software vendors' APIs and MCP servers, Meta's WhatsApp Business Platform, Telegram, cloud hosting and payment processors. Their availability, pricing and rules can change. If a vendor changes or withdraws access, we will tell you and work with you on alternatives, but we are not responsible for the third party's actions. Activation of a WhatsApp number depends on Meta's approval.

6. Fees and payment

Fees are shown on our pricing page or in your order or quote. Subscriptions are billed in advance for each billing period and renew automatically until cancelled. Setup packs and hourly help are billed as stated when you buy them. Prices exclude taxes; applicable taxes (such as GST for Indian clients) are added at checkout. Payments are processed by our payment partner; we do not store your card details. Cancellations and refunds are covered by our Cancellation and Refund Policy.

If a payment fails, we may suspend the service after notice until it is paid.

7. Your data

You own your data. Business data stays in your own systems: ZeroDelay reads the specific figures a person asks for and keeps only a reference, plus the logs and drafts described in our Privacy Policy and Security page. For personal data of your End Users, we act as your processor under our Data Processing Addendum, which forms part of these terms. You can export your logs and delete your account at any time.

8. Our intellectual property

We own ZeroDelay, its software, design and documentation. We grant you a non-exclusive, non-transferable right to use ZeroDelay for your business during your subscription. You may not copy, resell, reverse engineer or build a competing product from it. Product names of third-party software are trademarks of their owners; we are not affiliated with them unless stated.

9. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform this agreement, except where disclosure is required by law.

10. Availability and changes

We aim for high availability but, unless we agree a service level in writing, the service is provided without a guaranteed uptime. We may improve or change features. If we remove a feature you pay for, we will give you reasonable notice and, where appropriate, a pro-rata credit.

11. Warranties

We will provide ZeroDelay with reasonable skill and care. Apart from that, the service is provided "as is". Answers come from your own systems; we do not guarantee that data in those systems is correct, and you should verify figures before relying on them for significant decisions.

12. Liability

To the extent the law allows, neither party is liable for indirect or consequential losses, lost profits or lost data, and our total liability under these terms in any 12 months is limited to the fees you paid us in those 12 months. Nothing limits liability that cannot be limited by law.

13. Indemnity

You will defend and compensate us for claims arising from data you connect without authority, End Users you add without a lawful basis, or your breach of the Acceptable Use Policy.

14. Suspension and termination

You can cancel at any time from your account or by writing to [email protected]; cancellation takes effect at the end of the current billing period. We may suspend or end the service if you materially breach these terms and do not fix it within 15 days of notice, or immediately for serious misuse or where the law requires. After termination you have 30 days to export your logs; we then delete account data as described in the Privacy Policy, except records we must keep by law.

15. Governing law

These terms are governed by the laws of India. Courts in Ahmedabad have exclusive jurisdiction, subject to any mandatory consumer-protection or data-protection rights you have where you are based.

16. Changes to these terms

We may update these terms. We will post the new version on zerodelay.si and, for material changes, notify account owners by email at least 30 days before they take effect.
